Foreword

The Fundamental Documents under which the American Board of Nuclear Medicine is established and operates are provided herewith. The “Rules” of the Board are in three documents:

The Certificate of Incorporation was adopted and accepted by the State of Delaware in 1971 and subsequently has been amended on several occasions. It forms the basis of our legal status and can be amended only in accordance with the laws of Delaware and by an affirmative vote of two thirds of the Board members present at any regular meeting of the Board.

The Bylaws were developed in 1970 and 1971 and formally adopted in 1971. They have been amended on several occasions.

The Standing Rules are a compilation of all formally adopted policies of the ABNM since its incorporation in 1971. Each Standing Rule and any modification are referenced to the minutes of the ABNM meeting in which the action was taken. Periodically an entire section of the Standing rules will be updated.

Together these three segments comprise the legal basis for the ABNM’s operations. The Standing Rules include many detailed statements which constitute legal protection in the event that the ABNM was sued.

In matters not covered by the above, the ABNM operates under the general guidelines of Robert’s Rules of Order, Newly Revised.

In the case of question or conflict, the order of precedence of governing regulations in as follows:

  1. The laws of the State of Delaware in which we are incorporated.
  2. The Certificate of Incorporation
  3. The Bylaws
  4. The Standing Rules Robert’s Rules of Order, Newly Revised
